Court Restrains Lagos Country Club from Holding Extra-Ordinary General Meeting
A Federal High Court sitting in Lagos on Monday have issued a restraining order preventing the Lagos Country Club from convening a schedule Extra-Ordinary General Meeting
Justice Ibrahim Kala made the order after hearing Tadeous Idenyi of Law firm Pinheiro LP Chambers, restrained a group of members of the Lagos Country Club represented by Saka Bello-Adeshina Lukman and Francis Ofordu who have requisitioned an Extra-Ordinary General Meeting from proceeding to hold and/or convening the meeting of Thursday the 28th of March 2024 and/or any other date.
The restraining order was made pursuant to an application filed by the Registered Trustees of the Lagos Country Club. By the application, the Trustees alleged that the proposed prayers and agenda for the requisitioned EGM contained in the Requisition Notice dated 4th March 2024 touch on matters which are subjudice and for determination by the Court in Suit Nos: FHC/L/CS/301/2024 and FHC/L/CS/321/2024 and therefore a tacit attempt to prejudge those suits and steal a match. The Trustees further alleged that by the Constitution of the Lagos Country Club only a duly constituted Management Council can call for an EGM to be held but that the Requisitionist ignored the provision of the Constitution by issuing a Notice of Extra-Ordinary General Meeting themselves calling for the EGM.
After listening to the oral arguments of the applicant’s counsel, the Court ordered as follows:
“An Order of Interim Injunction is granted against the Defendants restraining them, their agents, privies or any other person(s) howsoever described from calling or holding and or convening the Extra-ordinary General Meeting of the Lagos Country Club scheduled for the 28th March, 2024 or any other date particularly, for the purpose of considering the Agenda/Prayers contained ni the purported requisition Notice of the Extraordinary General Meeting dated the 4 March, 2024 attached to the Affidavit as Exhibit ‘K’ and which relate to the subject matter in pending suits No. FHC/L/CS/301/2024 and FHC/L/CS/321/2024 pending the hearing and determination of this Motion on Notice dated 21/3/2024 and filed on 22/3/2024.”
The suit was thereafter adjourned to Thursday, 4th April 2024 for hearing of the Motion on Notice.
